Terms and Conditions of Sale

Last Updated:  September 20, 2026

1. Acceptance and scope

These Terms and Conditions of Sale (“Terms”) govern every order placed with Third Path Technology Group LLC (“Third Path,” “we,” “us”) through our online storefront or through any quote we issue that references these Terms. By placing an order, creating a storefront account, or accepting delivery of Products, you (“Customer”) agree to these Terms.

These Terms apply to purchases of hardware, software, licenses, subscriptions, and related goods. They do not replace any master services agreement, managed services agreement, or statement of work between you and Third Path, which continue to govern Services. Where a signed agreement between us expressly addresses the purchase of Products, that agreement controls as to what it expressly addresses. These Terms govern everything else about a Product purchase, including ordering and order acceptance, pricing and taxes, delivery, title and risk of loss, inspection and freight claims, cancellation and returns, and product warranty, and the fact that a signed agreement describes reselling among the services we provide does not by itself displace these Terms.

Our website Terms of Use govern your use of thirdpathtechnology.com and remain in effect. Where the two documents conflict as to a purchase of Products, these Terms control.

These Terms are the complete and exclusive statement of the agreement for each order. Any additional or different terms in your purchase order, vendor portal, invoice acknowledgment, or other form are rejected and have no effect, even if we ship against your purchase order number. We may update these Terms at any time. The version posted on the storefront when you place an order is the version that applies to that order.

The storefront is intended for business customers. By ordering, you represent that you are purchasing for business use and not as a consumer for personal, family, or household purposes.

2. Definitions and parties

Third Path is the seller of record for all orders placed through the storefront. Your contract for the purchase is with us.

Products means hardware, software, licenses, subscriptions, support contracts, accessories, and any other goods listed on the storefront.

Services means installation, configuration, deployment, or other professional or managed services we perform, whether quoted on the storefront or under a separate statement of work.

Distributor means Ingram Micro Inc. and any other distributor or supplier we use to source Products. The storefront runs on distributor-hosted technology, and orders are commonly shipped directly from a distributor or manufacturer warehouse to you. The Distributor is not a party to your contract with us, has no contractual obligation to you, and you agree not to pursue claims directly against the Distributor arising from your order.

Manufacturer means the original equipment manufacturer or software publisher of a Product.

Nothing in these Terms creates a partnership, joint venture, franchise, or agency relationship between us, and neither party may bind the other.

3. Quotes, orders, and acceptance

Product listings, catalog content, and quotes are invitations to order and are not offers. Your order is an offer to buy. No order is binding on us until we accept it, and acceptance occurs on the earlier of our written order confirmation or our shipment of the Product.

Quotes are valid for 15 days from issuance, or for the shorter period stated on the quote. We date-limit quotes more tightly on components whose pricing is volatile, and where a quote states its own validity period, that period controls. Quotes are also subject to earlier withdrawal or revision if supplier pricing, availability, or currency changes before acceptance. Quotes are for the entire configuration as quoted. We may decline to honor partial or modified quantities at the quoted unit price.

Catalog descriptions, images, specifications, and availability are supplied by Manufacturers and Distributors and may contain errors or become out of date. We may correct errors in pricing, description, specification, or availability at any time, including after an order is placed. If we discover a material error after accepting your order, we will notify you and you may confirm the corrected order or cancel it for a full refund of amounts paid for the affected line.

We may refuse or cancel any order, in whole or in part, for reasons including product unavailability, pricing or description error, suspected fraud, credit concerns, resale or export restrictions, or Manufacturer authorization requirements we cannot satisfy for your configuration. Our sole liability for a refused or cancelled order is refund of amounts you paid for that order.

Once accepted, an order is binding on you and may not be cancelled or amended without our written agreement. Section 8 governs cancellation and return.

4. Pricing, taxes, and fees

Prices are in U.S. dollars and exclude shipping, insurance, handling, duties, and taxes unless the quote or order confirmation states otherwise. Storefront pricing reflects supplier cost at the time of display and may change without notice until we accept your order.

You are responsible for all sales, use, excise, gross receipts, environmental, recycling, and similar taxes and fees, however designated, other than taxes on our net income. Where a state or locality imposes an electronic waste, battery, or recycling fee on a Product, that fee is added to your invoice. If you claim an exemption, whether as a reseller, a nonprofit, or a government buyer, you must provide a valid exemption or resale certificate that is acceptable in the jurisdiction the Product ships to, before we invoice. A certificate from a different state is not always sufficient. If an exemption you claimed is later disallowed, you will reimburse us for the tax, interest, and penalties assessed.

Tax is calculated on the ship-to location of each line item, so an order shipping to more than one address may carry more than one tax treatment. Where we are not required to collect tax in your state, no tax appears on your invoice and you may owe use tax directly to your own taxing authority on the purchase. That obligation is yours, not ours. If a taxing authority later determines that tax should have been collected on an order, we may invoice you for that tax plus any interest and penalties assessed, and you will pay it.

For multi-year subscriptions and licenses billed annually, pricing for renewal terms is set at the Manufacturer’s then-current rate and is not fixed by the initial order.

Where pricing depends on a special bid, deal registration, promotion, or program discount, that pricing is conditioned on the Manufacturer’s terms. Those terms commonly require that the Product be sold only to the named end user, that the Product remain in the authorized territory, and that end user details, purchase orders, or shipping documents be disclosed to us and to the Manufacturer for verification. If the condition is not met, the Manufacturer may reclaim the discount, and you will reimburse us for the amount reclaimed.

If a price is listed in error, we are not obligated to honor it, even after order confirmation. Section 3 governs how we handle the correction.

5. Payment, credit, and late payment

Unless we have approved you for terms in writing, payment is due in full at the time of order. Where we have extended terms, payment is due net 30 days from invoice date. Invoices are issued on shipment, and partial shipments are invoiced as shipped.

We may require prepayment, a deposit, or payment in full before ordering for special-order, configure-to-order, non-stocking, custom, or high-value items, and for subscription and license purchases that we must pay our supplier for up front.

Credit terms are extended at our discretion and may be reduced, suspended, or withdrawn at any time based on your payment history, credit information, or our supplier’s credit decisions. We may apply payments to the oldest outstanding invoice unless you direct otherwise in writing at the time of payment.

Late amounts accrue interest at 1.5% per month or the maximum allowed by Nevada law, whichever is less. You will reimburse our reasonable costs of collection, including attorneys’ fees. We may suspend shipments, order acceptance, and Services on any account with past due balances, including Services under separate agreements.

Card payments are processed by third-party processors subject to their terms. Surcharges on card payments, where permitted by law, are disclosed at checkout. Disputed invoices must be raised in writing within 15 days of invoice date with the specific line items and reasons identified. Undisputed amounts remain due. Payment obligations are not subject to setoff against claims under any other agreement.

Account credits issued for returns, claims, or adjustments expire if not used within 12 months of issuance. Your obligation to pay is not contingent on payment you expect to receive from any third party.

6. Shipping, delivery, title, and risk of loss

Products ship from our Distributor’s or a Manufacturer’s warehouse directly to the address you provide. Confirm that address at checkout, since we may be unable to reroute or recall a shipment once it is released.

Shipping is FOB origin. Title and risk of loss pass to you when the carrier takes possession at the shipping point, except that we retain a purchase money security interest in each Product until we receive payment in full, and you authorize us to file financing statements to perfect it.

Ship dates, lead times, and estimated delivery dates are estimates only. We are not liable for delays caused by carriers, Distributors, Manufacturers, supply constraints, customs, weather, or any cause outside our reasonable control, and a delay is not grounds to cancel an accepted order or to refuse delivery. Time is not of the essence unless we agree otherwise in a signed writing.

We may ship in partial shipments, and each shipment is treated as a separate sale. Orders containing multiple line items may arrive in several boxes, on different days, from different warehouses.

Accessorial charges such as liftgate service, inside delivery, residential delivery, redelivery, address correction, and storage are billable to you if incurred. Refused or undeliverable shipments returned to origin are subject to return freight and restocking charges under Section 8.

7. Inspection, shortages, and damage in transit

You must accept delivery of every shipment, including shipments that arrive short or partially damaged. Refusing a damaged or short shipment does not preserve your claim and may eliminate it.

On arrival, inspect the shipment and secure written acknowledgment from the carrier for any shortage, loss, damage, or nonconformance before the driver leaves. Visible damage means the carton is crushed, torn, water damaged, or otherwise physically damaged. Concealed damage means damage found only after opening the carton. Photograph the packaging and contents, and keep all original packaging and pallets until the claim is resolved.

These windows are short because they are set by our supply chain and we cannot extend them:

Report in writing, with the invoice number, the affected line items, and photographs where damage is involved. If you do not report within these windows, the shipment is deemed accepted as delivered and conforming, and no credit or replacement will be available. Report a shipment that never arrived as early as you can. Our supply chain documentation states both a ten day and a thirty day outer limit for non-delivery claims depending on how the claim is categorized, so we work to the shorter one.

Our remedy for a valid shortage, misship, or transit damage claim is, at our option, replacement of the affected Product or credit of the amount invoiced for it.

8. Cancellations, returns, and RMA

Products are non-returnable and prices and fees are non-refundable except as expressly permitted in this Section. There is no general right of return, no change-of-mind return, and no trial period.

All sales are final unless we issue a written Return Material Authorization (RMA) number. Whether a return is possible at all is set by the Manufacturer, and eligibility is assigned per product line rather than per brand. Two products from the same Manufacturer can carry entirely different treatment, and the majority of product lines carry no standing return right of any kind. We will submit an RMA request on your behalf in good faith, and our obligation is limited to passing through whatever the Distributor or Manufacturer actually grants. A denied RMA is final.

For defective Product, returning directly to the Manufacturer is the normal path rather than the exception. Most product lines require the Manufacturer to handle defective units, in which case we will give you the Manufacturer’s contact details and any required reference information and the claim proceeds between you and them.

Return allowances are also capped in volume. Our Distributor limits returns to a percentage of recent purchases within each manufacturer code. That cap is commonly 15 percent but runs as low as 1 to 5 percent on some product lines, so we may decline an otherwise eligible return if accepting it would exhaust the allowance for that line.

If the ability to return a Product matters to your decision, ask us before you order. We will tell you the return treatment for that specific product line, and for many lines the answer is that the Product cannot be returned at all once shipped.

Cancellation. Once we accept your order it is binding. An order may be cancelled only before it is released to the warehouse for shipment, and only with our written agreement. Configure-to-order, build-to-order, special-order, and non-standard Products are non-cancellable and non-returnable from the moment the order is accepted. Multi-year subscriptions and multi-year renewals are a purchase of the full stated value and are non-cancellable for the subscription term.

Requesting a return. Submit return requests to us in writing within 14 days of the invoice date, with the invoice number, quantity, and reason. Manufacturer windows run from the purchase date rather than from your delivery date, and a request that arrives late in the window will already be out of time once we relay it. Some product lines allow only a handful of days. Request as early as you can.

The RMA clock. An issued RMA expires 20 calendar days after issuance, and the Product must be physically received at the designated return facility before it expires, not merely shipped. Ship within 7 days of receiving the RMA so there is transit time. Product arriving after expiry is treated as unauthorized.

Condition. Except for Product returned as defective or damaged, Product must be returned in resalable condition: clean, undamaged, unused, unopened, in the original manufacturer packaging with all seals and factory tape unbroken. Defective and damaged returns must still include all original packaging, documentation, and components. Product damaged after you receive it may not be returned.

Packing and labeling. These requirements are strict and non-conforming returns are rejected:

  • Write the RMA number on the shipping label only. Never write, tape, or apply stickers to the manufacturer’s box, which makes the Product non-resalable on its own
  • Overbox the Product in a separate outer shipping carton
  • Do not re-tape the manufacturer’s packaging
  • One RMA per carton, and a separate RMA for each SKU and each return reason
  • Return freight prepaid, to the facility address we provide with the RMA
  • Returns cannot be dropped at a will call counter
  • Software, licenses, subscriptions, and cloud services, which involve no physical delivery and are non-cancellable and non-refundable once ordered
  • Configure-to-order, build-to-order, special-order, and non-stocking items
  • Consumables, batteries, media, toner, and cabling cut to length
  • Items discontinued, end-of-life, or past the Manufacturer’s return window
  • Any Product that has been installed, racked, imaged, registered to your account, or had its serial number registered for warranty
  • Any Product damaged after delivery, or whose manufacturer packaging has been written on, taped over, or opened

Rejected returns. A return that does not meet these requirements is classified as overgoods. It will be shipped back to you, and you are responsible for return freight plus the processing fee our Distributor charges us for that shipment, currently $50, at cost and without markup. A Product returned as defective that tests as functional is likewise returned to you at your expense.

Restocking and freight. Approved returns that fall outside standard policy are subject to a restocking fee of up to 15% of the credit, plus any higher restocking fee the Manufacturer mandates for that product line. Return shipping is at your expense and at your risk. Title and risk of loss on a return pass to us only when the Product is received and accepted at the designated return facility. Restocking fees do not apply where the return results from our error.

Generally not returnable. Treat the following as final sale unless we confirm otherwise in writing before you order:

Defective on arrival. A Product that will not operate on initial installation may qualify as DOA. Notify us within 14 days of the invoice date, and sooner where you can, since some product lines allow only a few days. The standard window upstream is 45 days from purchase, but a large share of product lines are shorter or require the Manufacturer to handle the claim directly. DOA returns are tested, and a Product that tests as functional is not DOA and is returned to you at your expense. Incompatibility is not a defect and does not qualify as DOA. After the DOA window, the Product is handled as a warranty claim under Section 9, directly with the Manufacturer.

Credits. Credits are issued after the Distributor or Manufacturer receives, inspects, and accepts the returned Product, and are issued to the original payment method or as an account credit at our discretion. Credit on a factory-sealed stock return is the lower of the price you were invoiced or the then-current selling price, so a Product whose price has fallen since purchase credits at the lower current price. Account credits expire if unused within 12 months. Original shipping charges are not refundable.

9. Warranties

Products are sold with the Manufacturer’s warranty only. We pass through to you, to the extent we are permitted to, whatever warranty, support entitlement, and remedy the Manufacturer provides, and we will reasonably assist you in pursuing a claim. The Manufacturer’s terms, duration, and exclusions govern, and warranty service is performed by the Manufacturer or its authorized service provider.

THIRD PATH MAKES NO WARRANTY OF ITS OWN WITH RESPECT TO PRODUCTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. PRODUCTS ARE SOLD AS IS AS BETWEEN YOU AND THIRD PATH, SUBJECT ONLY TO THE MANUFACTURER’S WARRANTY.

We do not warrant that any Product will meet your requirements, interoperate with your existing environment, or operate without interruption or error. Recommendations, compatibility guidance, sizing, and configuration advice we provide are given in good faith based on Manufacturer information and are not warranties. You are responsible for confirming that a Product fits your intended use before ordering, and for maintaining backups and business continuity measures independent of any Product purchased here.

Products are not designed for use in life support, life sustaining, nuclear, aviation control, or other applications where failure could cause death, personal injury, or severe environmental damage. Any such use is at your sole risk.

Where Services are purchased, we warrant only that Services will be performed in a professional and workmanlike manner. Your exclusive remedy for breach of that warranty is re-performance of the deficient Services, provided you notify us within 30 days of performance.

10. Software, licenses, and subscriptions

Software and subscriptions are licensed, not sold. Your rights are governed entirely by the Manufacturer’s or publisher’s end user license agreement, terms of service, and support policies, which form a direct agreement between you and that vendor. We convey no rights beyond those and have no authority to modify them.

By ordering a licensed Product, you agree to be bound by the applicable license terms on activation or first use, and you are responsible for reviewing them. If you do not accept the vendor’s license terms, your remedy is with that vendor, not with us, and the order is not returnable on that basis.

You are responsible for license compliance, including seat counts, deployment scope, and audit obligations. Under-licensing exposes you to the vendor’s audit remedies, and we are not responsible for true-up costs.

Subscriptions and term licenses are non-cancellable during the subscription term and fees for them are non-refundable, including where you stop using the service. They may auto-renew under the vendor’s terms. Cancellation and non-renewal deadlines are set by the vendor and are frequently 30 days or more before the renewal date. Send cancellation requests to us far enough ahead for us to process them with the vendor. We cannot cancel or refund a renewal after the vendor’s deadline has passed.

Where a subscription is purchased through a cloud program that requires acceptance of a customer agreement or partner attestation, you agree to complete that acceptance promptly. We may be required to provide the vendor with your name, contact details, and tenant information to provision the order.

Products may contain third-party or open source components licensed separately, and those licenses apply to those components.

11. Installation and professional services

Product pricing does not include unboxing, racking, cabling, imaging, configuration, migration, disposal of old equipment, or any other on-site or remote work, unless a Service line item is on your quote or a statement of work is in place.

Services quoted on the storefront are estimates based on the scope described at the time of the quote. Scope changes, undocumented environment conditions, third-party delays, and access limitations may require a revised quote. Services are billed at our then-current rates unless a fixed fee is stated.

You will provide safe and timely access to sites and systems, necessary credentials and administrative rights, adequate power, network connectivity, rack space, and a working environment. Delays caused by lack of access or readiness are billable.

Before any Service that touches existing systems, you are responsible for complete, tested, and restorable backups. We are not responsible for loss or corruption of data.

Where Services are performed under a separate managed services agreement or statement of work, that document governs the Services and these Terms govern the Products.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF USE, LOSS OR CORRUPTION OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE PRODUCTS OR SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS OR ANY ORDER, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO ANY ORDER WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

These limitations apply to our officers, employees, agents, and suppliers, apply regardless of whether a limited remedy fails of its essential purpose, and survive termination. They do not limit your obligation to pay for Products delivered, and they do not apply to liability that cannot be limited by law.

Any claim arising out of or related to an order must be brought within one year after the cause of action accrues, or it is permanently barred.

Neither party is liable to the other for a Manufacturer’s or publisher’s acts, omissions, product defects, price changes, discontinuations, licensing decisions, or service outages.

13. Compliance, export control, and end use

Products and related technology are subject to U.S. export control and sanctions laws, including the Export Administration Regulations and regulations administered by the Office of Foreign Assets Control, and may be subject to the laws of other countries.

You agree not to export, re-export, transfer, or divert any Product, directly or indirectly, to any country, entity, or person prohibited under those laws, or for any prohibited end use including nuclear, chemical, biological weapons, missile technology, or military intelligence end uses. You represent that you are not located in a sanctioned jurisdiction and are not a party listed on any U.S. government denied, debarred, or restricted party list.

Products are sold for your internal business use. Resale, export, or transfer outside the United States requires our prior written consent, and some Manufacturer programs prohibit it outright. If you intend to resell, tell us before ordering so we can confirm whether the Manufacturer permits it.

You will comply with all applicable laws in your use of the Products, including data protection, licensing, and industry regulations applicable to your business. Government end users acquire Products subject to the restricted rights provisions applicable to commercial items.

14. Indemnification

You will defend, indemnify, and hold harmless Third Path Technology Group LLC and its owners, officers, employees, and agents from any third-party claim, loss, liability, damage, fine, or expense, including reasonable attorneys’ fees, arising out of or related to: your use, installation, deployment, or resale of a Product; your breach of these Terms or of a Manufacturer license; your violation of export, sanctions, tax, or data protection law; your failure to pay taxes or fees properly assessed on an order; or your negligence or willful misconduct.

If a third party claims that a Product infringes its intellectual property rights, that claim is handled under the Manufacturer’s indemnity, if any. We will pass through the benefit of any Manufacturer indemnity to the extent we are permitted to, and we have no separate infringement indemnity obligation of our own.

We will notify you of any claim subject to your indemnity, and we may participate in the defense at our own expense. You may not settle a claim in a way that imposes an obligation or admission on us without our written consent.

15. Account, data, and privacy

You are responsible for the confidentiality of your storefront credentials and for all activity under your account. Notify us promptly of any suspected unauthorized use. We may suspend an account we reasonably believe is compromised or is being used in breach of these Terms.

We collect and process information you provide in the course of ordering, including contact, billing, shipping, tax exemption, and tenant or license registration details. Our Privacy Policy at https://thirdpathtechnology.com/privacy describes how we handle that information and is incorporated here by reference.

To fulfill an order, we share necessary information with Distributors, Manufacturers, carriers, payment processors, and licensing platforms. Registering a Product warranty or provisioning a subscription usually requires that your organization’s details be given to the Manufacturer, who then handles that information under its own privacy terms.

The storefront runs on Distributor-hosted technology. Your use of it is also subject to the platform operator’s terms and privacy notice, and we do not control that platform’s availability, content accuracy, or data practices.

You consent to receive order confirmations, invoices, notices, and account communications electronically, and you agree that electronic records and signatures satisfy any requirement that a communication be in writing.

16. Force majeure, allocation, and suspension

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, fire, flood, severe weather, epidemic, war, terrorism, civil unrest, labor disputes, carrier failure, utility or telecommunications outage, cyberattack, component shortage, supplier or Manufacturer allocation, embargo, tariff, or government action. Affected obligations are suspended for the duration of the event.

Where supply is constrained, we may allocate available Products among our customers in any reasonable manner, and we may cancel an affected order with a refund of amounts paid for undelivered Products.

We may suspend storefront access, order acceptance, and shipments if your account is past due, if we suspect fraud or unauthorized use, or if continuing would put us in breach of law, a Manufacturer program requirement, or our Distributor agreement.

17. Governing law and disputes

These Terms and every order are governed by the laws of the State of Nevada, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply.

The state and federal courts located in the State of Nevada have exclusive jurisdiction over any dispute arising out of or related to these Terms or any order. Both parties consent to personal jurisdiction and venue in those courts and waive any objection based on inconvenient forum.

Before filing suit, the parties will attempt in good faith to resolve the dispute through discussions between representatives with authority to settle, for at least 30 days after written notice of the dispute. This step does not apply to, and nothing in it delays, a claim by us to collect amounts owed for Products or Services delivered, a claim concerning intellectual property rights, or a request for injunctive or other equitable relief. Any of those may be filed immediately.

The prevailing party in any proceeding arising out of or related to these Terms is entitled to recover its reasonable attorneys’ fees and costs, in addition to any other relief awarded.

EACH PARTY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR ANY ORDER. EACH PARTY ACKNOWLEDGES THAT IT IS ENTERING INTO A COMMERCIAL TRANSACTION, THAT IT HAS HAD THE OPPORTUNITY TO REVIEW THIS PROVISION AND TO CONSULT COUNSEL, AND THAT THIS WAIVER IS A MATERIAL INDUCEMENT TO THE OTHER PARTY TO ENTER INTO THIS TRANSACTION.

Any claim must be brought within the period stated in Section 12.

18. General

These Terms, the order confirmation, and any document expressly incorporated by reference are the entire agreement for the purchase and supersede prior discussions, proposals, and representations on that subject.

We may assign these Terms or any order in connection with a sale of our business or assets. You may not assign an order or any rights under it without our prior written consent, and any attempted assignment without consent is void.

Notices to us must be sent to the address in Section 19. Notices to you may be sent to the email or address on your account and are effective when sent.

If any provision is held unenforceable, it is modified to the minimum extent necessary or severed, and the remaining provisions stay in effect. A failure to enforce a provision is not a waiver of it.

Sections concerning payment, taxes, warranty disclaimers, limitation of liability, indemnification, export compliance, governing law, and disputes survive completion or cancellation of any order.

We may update these Terms by posting a revised version to the storefront and at https://thirdpathtechnology.com/sales-terms and updating the Last Updated date. The current version is always available at that address. The version in effect when you place an order governs that order.

19. Contact

Questions about an order, an invoice, or a return request should go to us directly rather than to the Distributor or Manufacturer, so that we can track the claim.
